Celyad Oncology announces strategic review

June 24, 2025 Caroline Lonez

Mont-Saint-Guibert, Belgium; June 24, 2025, 7:00 pm CET – Celyad Oncology (Euronext: CYAD) (the “Company” or “Celyad”) today announced that it is conducting a comprehensive review of strategic alternatives. Given the Company’s current financial position and the general state of biotech market, this review now includes potential asset sales, operational and organizational restructuring, and possible mergers or business combination, in addition to potential financing from the public or private sale of equity, debt financings or funds from other capital sources, partnerships, and licensing of assets that the Company has been evaluating. The evaluation is ongoing, and Celyad emphasized that no decisions have been made at this time. The Company’s goal is to identify the best path to strengthen its balance sheet and maximize value for shareholders. There can be no assurance that this process will result in the Company pursuing a transaction or any other strategic outcome.

As of December 31, 2024, Celyad reported a treasury position of €4.2 million. Management reiterates that existing cash will fund operations only into the third quarter of 2025. In light of this limited cash runway, the Board of Directors of Celyad noted that additional financing or a strategic transaction will likely be needed to support continuing operations. Celyad has already initiated refinancing discussions with investors and advisors to address its funding needs.

In parallel with the strategic review, Celyad has continued to streamline its operations and reduce costs. The Company’s research and development (R&D) expenses fell to €3.2 million in 2024 (from €4.6 million in 2023), while general and administrative (G&A) expenses were €3.2 million in 2024 (down from €6.0 million in 2023). These reductions reflect Celyad’s leaner structure, achieved through project prioritization and headcount reductions.

Matt Kane, Chief Executive Officer of Celyad, commented: “The Board is now exploring multiple strategic alternatives. Potential options include forming collaborations or co-development partnerships, licensing or selling select technology platforms, merging with a complementary company, and reorganizing internal operations to further reduce expenses. Celyad has already taken steps towards some of these goals: the Company is currently in discussion with potential partners for out-licensing deals on its CAR-T and shRNA platforms. ”

Celyad reiterated this process is exploratory, and no final determinations have been made.

Celyad Oncology announces the publication of the preclinical and clinical data of CYAD-211 providing proof-of-concept of its miRNA-based shRNA platform

February 18, 2025 Caroline Lonez

Mont-Saint-Guibert, Belgium; February 18, 2025, 7:00 am CET – Celyad Oncology (Euronext: CYAD) (the “Company”), today announces the publication of the preclinical data of the non-gene edited allogeneic CYAD-211 and clinical data from the Phase I IMMUNICY-1 clinical study which evaluated CYAD-211 in relapsed or refractory (r/r) multiple myeloma (MM) patients. The findings were published in the International Journal of Molecular Science (IJMS).

CYAD-211 is the Company’s first allogeneic chimeric antigen receptor (CAR) T-cell candidate, engineered to co-express a B-cell maturation antigen (BCMA)-specific CAR and a microRNA-based single shRNA which interferes with the expression of the CD3ζ component of the T-cell receptor (TCR) complex, evaluated clinically.

The IJMS publication includes preclinical data which showcases the knockdown of CD3ζ efficiently removed the TCR complex from the cell surface, and inhibited TCR mediated activation in vitro and in vivo. The publication also presents clinical data of the dose-escalation segment of the IMMUNICY-1 phase-I clinical trial (NCT04613557) in patients with r/r MM.  Importantly, data highlighted an overall good safety profile and some clinical responses, with no signs of graft-versus-host disease (GvHD), demonstrating the effectiveness and safeness of the technology to abrogate the risk of GvHD.

Overall, these data provides the proof-of-concept of the safe administration of CAR T-cells engineered using a miRNA-based shRNA technology. CYAD-211 is the first allogeneic CAR T-cell candidate using a non-gene edited approach to achieve allogenicity. This differentiated strategy provides key advantages by being easily implemented, safe, efficient, tunable, and with the possibility to modulate multiple target genes simultaneously.

Letter to Shareholders 2024

April 5, 2024 Caroline Lonez

Dear Shareholder,

Over the last 2 years, Celyad Oncology (the “Company”) has completed a significant strategic shift with the ambition to stay at the forefront of innovation in immunotherapy, and more precisely, chimeric antigen receptor (CAR) T cell therapy. Its primary focus is to pioneer and advance the field of cell therapy by addressing the limitations of these groundbreaking therapies.

Celyad Oncology  has initiated its strategic shift in 2022 from a fully integrated cell therapy company which included manufacturing and clinical development, to a company focusing on its preclinical research and the monetization of its intellectual property  portfolio (IP). While most of the reorganization took place over 2022, it extended until the third quarter of 2023, with the move of the company to a new location in the Axis Parc, across the street from its previous headquarters. The new offices and research facility are better suited to the current needs of the Company. Throughout the past year, the hard work and dedication of the entire Celyad Oncology team has generated remarkable achievements and positive changes throughout the Company, confirming the value creation potential of our strategic choices.

Celyad Oncology provides fourth quarter 2023 business update and 2024 outlook

January 16, 2024 Caroline Lonez

  • Three main pillars to unlock the potential of proprietary technology platforms and intellectual property:
    • A proprietary non-gene editing technology platform based on multiplexing of short hairpin ribonucleic acid (shRNAs)-derived sequences to broaden the capacities of CAR-Ts
    • Differentiated targets to widen the range of indications and the development of multispecific CARs to overcome the main limitations of current CAR-T therapies
    • A robust and broad Intellectual Property (IP) portfolio

Mont-Saint-Guibert, Belgium; January 16, 2024, 10:01 pm CET – Celyad Oncology (Euronext: CYAD) (the “Company”), today provides a fourth quarter 2023 business update and an outlook for 2024.

Michel Lussier, interim Chief Executive Officer of Celyad Oncology, commented: “2023 has been a very important year for Celyad Oncology, after the changes that occurred in 2022. Our research team has made a remarkable progress to broaden the range of cancer indications that could be targeted by chimeric antigen receptor (CAR) T-cells and to tackle the main limitations of current CAR T-cell therapies. We have shared new data at several scientific and business conferences along the year, and published in high impact peer-reviewed journals. We are eager to see the impact of our efforts to unleash the power of our IP estate and stay at the forefront of next-generation CAR T-cell development.”

2023 corporate accomplishments

  • On August 24, 2023, the Company announced that it obtained commitments from Fortress, Tolefi and other longstanding existing shareholders to subscribe to a capital increase of up to €9.8 million in 2 tranches:
    • A first tranche of 2.0 million was disbursed in the context of authorized capital as of September 4, 2023; and
    • A second tranche subscribed by Fortress was approved by the extraordinary shareholders’ meeting of November 14, 2023. Following this private placement, the Company believes that its existing cash and cash equivalents should be sufficient, based on the current scope of activities, to fund operating expenses and capital expenditure requirements into the second quarter of 2025.

2023 operational highlights

  • Multiplex short hairpin ribonucleic acid (shRNA) non-gene edited technology – All along 2023, we have collected and presented data validating our shRNA multiplexing approach:
    • We developed a chimeric micro-RNA (miRNA) cluster to enable multiplexing of shRNAs, designed for easy, efficient, and tunable downregulation of up to four target genes simultaneously in CAR T-cells;
    • Results detailing the technical aspects of the development of this platform have been published in Molecular Therapy – Nucleic Acids (Mol Ther Nucleic Acids. 2023, 34:102038). This publication has raised much interest from the community and was subjected to an editorial comment in the same volume of the Journal (Mol Ther Nucleic Acids. 2023, 34:102077);
    • Additional data which demonstrate feasibility of this approach in the context of allogeneic cell therapies or with the aim to create therapies able to overcome the coinhibitory effects of exhaustion markers were presented at several scientific conferences. Posters are available on the company’s website, at https://celyad.com/our-science-technology/publications/.
  • Multispecific NKG2D-based CAR T-cell platform – In 2023, we have compiled and presented data validating our multispecific approach targeting NKG2D ligands (NKG2DL):
    • We have developed different CD19/NKG2DL, BCMA/NKG2DL and PSMA/NKG2DL multispecific CAR T-cells, utilizing both tandem constructs – that encompass the extracellular domain of the natural NKG2D receptor fused to a scFv targeting CD19, BCMA or PSMA, or dual constructs – that co-express the NKG2D-based CAR with an anti-CD19, anti-BCMA or anti-PSMA CAR, respectively;
    • Our data provides the proof-of-concept that NKG2DL are valuable targets in a multispecific CAR approach and demonstrate our CD19/NKG2DL multispecific CAR T-cells are highly effective to counteract relapses due to CD19 antigen loss in vivo. In vitro data generated with BCMA/NKG2DL and PSMA/NKG2DL multispecific CAR T-cells further validate this approach in other hematological and solid indications. Posters are available on the company’s website, at https://celyad.com/our-science-technology/publications/.

Financial highlights

As of December 31, 2023, the Company had cash and cash equivalents of €3.0 million and short-term investments of €4.0 million. The Company projects that its existing cash, cash equivalents and short-term investments should be sufficient to fund operating expenses and capital expenditure requirements into the second quarter of 2025. Therefore, the Company continues to project that its existing cash and cash equivalents will be sufficient to fund its estimated operating and capital expenditures over at least the next 12 months from the date of this press release.

Outlook for 2024

  • More data and evidence in the context of the multispecific CAR T-cell platform and shRNA multiplexing approach will be shared in the first half of 2024, with the aim to develop assets ready for a potential initiation of clinical trials either by the Company and/or through strategic partnerships afterwards.
